A. English

Welcome to APiM Galaxy. These Terms of Service ("Terms") form a binding agreement between you and A Piece of Map Inc. ("Company," "we," "us," or "our") and govern your access to and use of the APiM Galaxy platform, the galaxy.apieceofmap.com website, related applications, and any associated services (together, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.

1. The Service

APiM Galaxy is a business-intelligence platform that visualizes and analyzes corporate partnership networks, with a focus on the geospatial and mobility industries. The Service provides:

• Interactive visualization of corporate relationships and partnership networks;
• Company profiles and partnership information;
• News aggregation accompanied by AI-generated summaries;
• PDF reports on companies and partnerships (for registered users); and
• AI-assisted business-development ("BD") strategy recommendations (for Pro subscribers).

We may modify, suspend, or discontinue any part of the Service at any time. Where changes are material, we will make reasonable efforts to notify registered users by email or in-app notice.

2. Plans and Eligibility

The Service is offered through the following plans:

To register, you must be at least the age of majority in your jurisdiction (or have verifiable consent from a parent or legal guardian) and capable of forming a binding contract. You agree to provide accurate, current, and complete information and to keep it up to date.

3. Enterprise Plan and Professional Services

The Company offers two categories of business engagement that are separate from the standard Pro SaaS subscription:

3.1 Enterprise Plan (subscription). The Enterprise plan is a custom, contract-based subscription for teams and organizations. It may include custom seats, dedicated support, expanded or tailored network coverage, and bespoke pricing. Enterprise terms are set out in a separate order form, statement of work, or written agreement, which prevails over these Terms to the extent of any conflict for that engagement.

3.2 Integrated Strategic Consulting & Professional Services (one-time). Separately from any SaaS subscription, the Company may provide one-time, business-to-business ("B2B") professional services — including integrated strategic consulting and localization services — engaged through a contract and billed by invoice. These are highly customized human-and-digital integrated services. Because delivery is bespoke and labor-intensive, fees for these services are non-refundable once the project has officially commenced or service delivery has begun, as described in the Refund Policy §1. This does not limit any mandatory withdrawal or refund rights you may have as a consumer under applicable law.

4. Accounts and Security

You may create an account using Google Sign-In or an email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized access at navigate@apieceofmap.com.

We may suspend or terminate your account if you breach these Terms, if your account is used for unauthorized purposes, if you fail to pay applicable fees, or where required by law. You may delete your account at any time through your account settings or by contacting us.

5. Subscriptions, Billing, and Payment

5.1 Merchant of Record (Paddle). Paid subscriptions and invoices are processed by Paddle as our Merchant of Record ("MoR") and authorized reseller. Your purchase creates a two-tier transaction: (a) a sale between you and Paddle as reseller, and (b) a supply between Paddle and the Company. By purchasing, you also agree to Paddle's Terms and Paddle's Privacy Policy. As MoR, Paddle is responsible for collecting and remitting applicable taxes (VAT/GST/sales tax), issuing receipts, and handling payment-related chargebacks.

5.2 Card data. Card details are submitted directly from your browser to Paddle's hosted checkout and do not reach the Company's servers. The Company is therefore outside the scope of PCI DSS for card data; Paddle is a PCI DSS-compliant processor.

5.3 Prices, billing, and renewal. Subscription prices are displayed in USD by default and may be converted to your local currency at checkout at Paddle's then-current rate. Applicable VAT/GST may be added based on your location. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. You may cancel at any time, effective at the end of the current billing period.

5.4 Free trial. New Pro subscribers may receive a 14-day free trial. We will notify you before the trial ends. If you do not cancel before the trial expires, the subscription converts to a paid plan and your payment method is charged.

5.5 Price changes. We may change subscription prices with at least 30 days' prior notice. Changes take effect at the start of your next billing cycle after the notice period.

6. Refunds and Cancellation

Our refund terms are set out in full in the Refund Policy, which forms part of these Terms. In summary:

• Korean consumers have a statutory 7-day right of withdrawal under Article 17 of the Act on the Consumer Protection in Electronic Commerce, subject to the divisible-digital-content provisions of that Act. Our free tier and free trial are provided as an Article 17(3) safeguard.
• EEA / EU / UK consumers have a 14-day cooling-off period under Article 9 of the EU Consumer Rights Directive. Even where the Article 16(m) digital-content exception may apply, the Company honors a 14-day pro-rata refund based on actual usage, and a full refund where you withdraw before any substantive use.
• One-time B2B professional services are non-refundable once commenced (§3.2), without limiting your mandatory consumer rights.

The Refund Policy governs in the event of any inconsistency with this summary.

7. AI-Generated Content

The Service uses artificial intelligence, including third-party AI models, to generate news summaries, company-profile enrichment, and BD-strategy recommendations.

AI-generated content is provided "AS IS" and may contain errors, inaccuracies, or omissions. It is not professional business, investment, legal, or tax advice, and should not be the sole basis for any decision. You agree to independently verify AI-generated information before relying on it, and the Company is not liable for decisions made in reliance on it. If you identify an inaccuracy, please report it to navigate@apieceofmap.com.

8. Third-Party Content and Intellectual Property

8.1 Aggregated content. The Service displays information from third-party sources, including corporate press releases, newsroom publications, RSS feeds, and publicly available company information. Such content remains the property of its respective owners, and we link to original sources where available. News summaries are AI-generated transformations, not reproductions. Company names and logos are used solely for identification and remain the trademarks of their owners. Inclusion of third-party content does not imply endorsement or any business relationship unless explicitly stated in our data.

8.2 Removal and opt-out. Content owners may request removal at navigate@apieceofmap.com (processed within 5 business days). Companies listed on APiM Galaxy may learn about our data practices at galaxy.apieceofmap.com/bot and request removal (honored within 10 business days). Copyright matters are handled under §10.

8.3 Our IP and your license. The Service — including its design, features, code, visualizations, graph layouts, and original editorial content — is owned by the Company and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. Content you submit (for example, persona profiles for BD-strategy requests) remains yours; you grant us a limited license to use it solely to provide the Service to you. Any feedback you provide may be used by us without restriction.

9. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose;
• copy, modify, distribute, reverse-engineer, or create derivative works of the Service;
• use bots, scrapers, or crawlers to access the Service, or systematically download or redistribute its content, without our prior written consent;
• use the Service's data or outputs to build or contribute to a competing database or service, or to train AI/ML models, without our prior written consent;
• resell, sublicense, or redistribute reports, data, or AI-generated content to non-subscribers;
• circumvent access restrictions or usage limits, share your credentials, or impersonate any person or entity; or
• interfere with or disrupt the Service, or use it to harass, defame, or harm any individual or company.

Information obtained through the Service may be used for your internal business purposes only.

10. Copyright and DMCA

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, you may submit a notice to our designated agent at navigate@apieceofmap.com under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) or under Article 103 of the Korean Copyright Act (저작권법 제103조). Your notice should identify the work, the allegedly infringing material and its URL, your contact information, and a good-faith statement of infringement. We process counter-notifications in accordance with applicable law and may terminate the accounts of repeat infringers.

11. Disclaimers and Limitation of Liability

11.1 "AS IS." To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, completeness, or availability of content. We do not warrant that company profiles, partnership data, news, or AI outputs are complete, current, or error-free.

11.2 Limitation. To the maximum extent permitted by law, the Company and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, or for any reliance on AI-generated content. The Company's total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to the Company in the 12 months preceding the claim.

11.3 Exceptions. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under applicable law. Your mandatory rights as a consumer are not affected by this section.

12. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from any claim, damage, loss, or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your violation of any third-party right, or any content you submit.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. Any dispute will first be addressed through good-faith negotiation; failing that, it will be resolved by the courts of the Republic of Korea, with the Seoul Central District Court (서울중앙지방법원) as the court of first instance. Where local mandatory consumer-protection law grants you the right to bring proceedings in your country of residence or to rely on the law of that country, those rights are preserved. To the extent permitted by applicable law, disputes are resolved on an individual basis; this does not waive any non-waivable collective-redress right (for example, under Korea's Framework Act on Consumers).

14. Changes to These Terms

We may update these Terms from time to time. For material changes, we will post the updated Terms, update the "Last Updated" date, and notify registered users by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

15. General and Contact

If any provision is held unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and the Company regarding the Service. You may not assign these Terms without our consent; we may assign them without restriction. We are not liable for delays or failures caused by events beyond our reasonable control.

1. 서비스

APiM Galaxy는 기업 간 파트너십 네트워크를 시각화·분석하는 비즈니스 인텔리전스 플랫폼으로, 지리공간 및 모빌리티 산업을 중심으로 합니다. 서비스는 다음을 제공합니다:

• 기업 관계 및 파트너십 네트워크의 인터랙티브 시각화
• 기업 프로필 및 파트너십 정보
• 뉴스 수집 및 AI 생성 요약
• 기업·파트너십에 관한 PDF 리포트(등록 사용자 대상)
• AI 기반 비즈니스 개발(BD) 전략 권고(Pro 구독자 대상)

회사는 서비스의 일부를 언제든지 변경·중단·종료할 수 있습니다. 중대한 변경의 경우 이메일 또는 서비스 내 안내를 통해 등록 사용자에게 합리적으로 통지하도록 노력합니다.

2. 요금제 및 이용 자격

서비스는 다음 요금제로 제공됩니다:

가입을 위해서는 귀하가 거주 관할의 성년 연령에 도달해 있거나(또는 부모·법정대리인의 확인 가능한 동의를 받았어야 하며), 구속력 있는 계약을 체결할 능력이 있어야 합니다. 귀하는 정확하고 최신의 완전한 정보를 제공하고 이를 갱신할 것에 동의합니다.

3. Enterprise 플랜 및 전문 서비스

회사는 표준 Pro SaaS 구독과 별개로 다음 두 가지 기업 대상 서비스를 제공합니다:

3.1 Enterprise 플랜(구독). Enterprise 플랜은 팀·조직을 위한 맞춤형 계약 기반 구독입니다. 맞춤 좌석, 전담 지원, 확장·맞춤 네트워크 커버리지, 별도 가격 책정 등을 포함할 수 있습니다. Enterprise 조건은 별도의 주문서·작업기술서·서면 계약에 정하며, 해당 계약은 그 범위에서 본 약관과 충돌하는 경우 우선합니다.

3.2 통합 전략 컨설팅 및 전문 서비스(1회성). SaaS 구독과 별개로, 회사는 1회성 기업 간(B2B) 전문 서비스 — 통합 전략 컨설팅 및 로컬라이제이션 서비스 등 — 를 계약을 통해 제공하고 인보이스로 청구할 수 있습니다. 이는 고도로 맞춤화된 인적·디지털 통합 서비스입니다. 제공이 맞춤형이고 노동집약적이므로, 환불 정책 제1조에 따라 프로젝트가 공식적으로 착수되거나 서비스 제공이 개시된 이후에는 해당 서비스 요금이 환불되지 않습니다. 본 조항은 관련 법령상 소비자로서 귀하가 가지는 강행적 청약철회·환불 권리를 제한하지 않습니다.

4. 계정 및 보안

귀하는 Google 로그인 또는 이메일·비밀번호로 계정을 생성할 수 있습니다. 귀하는 자신의 인증 정보를 비밀로 유지할 책임과 계정에서 발생하는 모든 활동에 대한 책임을 부담합니다. 무단 접근을 인지한 경우 navigate@apieceofmap.com으로 즉시 통지해 주십시오.

회사는 귀하가 본 약관을 위반한 경우, 계정이 무단 목적으로 사용된 경우, 적용 요금을 납부하지 않은 경우, 또는 법령상 요구되는 경우 계정을 정지·종료할 수 있습니다. 귀하는 계정 설정 또는 회사 연락을 통해 언제든지 계정을 삭제할 수 있습니다.

5. 구독, 청구 및 결제

5.1 공식 판매자(Paddle). 유료 구독 및 인보이스는 Paddle이 공식 판매자(Merchant of Record, "MoR") 겸 공인 리셀러로서 처리합니다. 귀하의 결제는 (가) 귀하와 리셀러인 Paddle 간의 판매, (나) Paddle과 회사 간의 공급이라는 2단계 거래를 형성합니다. 결제 시 귀하는 Paddle 이용약관 및 Paddle 개인정보 처리방침에도 동의하게 됩니다. Paddle은 MoR로서 적용 세금(부가가치세·소비세·판매세)의 수령·납부, 영수증 발행, 결제 관련 지급거절(chargeback) 대응에 대한 책임을 집니다.

5.2 카드 정보. 카드 정보는 귀하의 브라우저에서 Paddle이 제공하는 결제 화면으로 직접 전송되며 회사 서버에는 도달하지 않습니다. 따라서 회사는 카드 데이터에 관하여 PCI DSS 적용 대상 밖에 있으며, Paddle은 PCI DSS 인증 결제 처리 사업자입니다.

5.3 가격·청구·갱신. 구독 가격은 기본적으로 미국 달러(USD)로 표기되며 결제 시점 Paddle의 당시 환율로 현지 통화로 환산될 수 있습니다. 귀하의 소재지에 따라 부가가치세·소비세가 추가될 수 있습니다. 구독은 취소 전까지 각 결제 주기 종료 시 갱신 시점의 요금으로 자동 갱신됩니다. 귀하는 언제든지 취소할 수 있으며, 취소는 현재 결제 주기 종료 시점에 발효됩니다.

5.4 무료 체험. 신규 Pro 구독자는 14일 무료 체험을 받을 수 있습니다. 체험 종료 전 안내를 드립니다. 체험 만료 전 취소하지 않으면 유료 플랜으로 전환되어 귀하의 결제 수단으로 청구됩니다.

5.5 요금 변경. 회사는 최소 30일 전 사전 통지를 거쳐 구독 요금을 변경할 수 있으며, 변경은 통지 기간 종료 후 다음 결제 주기 시작 시점부터 적용됩니다.

6. 환불 및 취소

환불 조건의 전문은 본 약관의 일부를 이루는 환불 정책에 정합니다. 요약하면 다음과 같습니다:

• 한국 소비자는 「전자상거래 등에서의 소비자보호에 관한 법률」 제17조에 따라 법정 7일 청약철회권을 가지며, 같은 법의 가분적 디지털콘텐츠 규정의 적용을 받습니다. 회사의 무료 tier 및 무료 체험은 제17조 제3항에 따른 보호 조치로 제공됩니다.
• EEA·EU·영국 소비자는 EU 소비자권리지침 제9조에 따라 14일 청약철회 기간을 가집니다. 제16조(m)항 디지털콘텐츠 예외가 적용될 수 있는 경우에도, 회사는 실제 사용량에 비례한 14일 비례 환불을 제공하며, 실질적 사용 이전 철회 시 전액을 환불합니다.
• 1회성 B2B 전문 서비스는 착수 후 환불되지 않습니다(§3.2). 단, 강행적 소비자 권리는 제한되지 않습니다.

본 요약과 환불 정책 사이에 불일치가 있는 경우 환불 정책이 우선합니다.

7. AI 생성 콘텐츠

서비스는 제3자 AI 모델을 포함한 인공지능을 사용하여 뉴스 요약, 기업 프로필 보강, BD 전략 권고를 생성합니다.

AI 생성 콘텐츠는 "있는 그대로(AS IS)" 제공되며 오류·부정확·누락을 포함할 수 있습니다. 이는 전문적 사업·투자·법률·세무 자문이 아니며 어떠한 의사결정의 유일한 근거가 되어서는 안 됩니다. 귀하는 AI 생성 정보를 신뢰하기 전에 독립적으로 검증할 것에 동의하며, 회사는 이를 신뢰하여 내린 결정에 대해 책임지지 않습니다. 부정확을 발견하신 경우 navigate@apieceofmap.com으로 신고해 주십시오.

8. 제3자 콘텐츠 및 지적재산권

8.1 수집 콘텐츠. 서비스는 기업 보도자료, 뉴스룸 게시물, RSS 피드, 공개된 기업 정보 등 제3자 출처의 정보를 표시합니다. 해당 콘텐츠는 각 권리자의 자산으로 남으며, 회사는 가능한 경우 원 출처로 링크합니다. 뉴스 요약은 원문의 복제가 아닌 AI 생성 변형물입니다. 기업명·로고는 식별 목적으로만 사용되며 각 권리자의 상표로 남습니다. 제3자 콘텐츠의 포함이 보증이나 사업 관계를 의미하지는 않으며, 회사 데이터에 명시된 경우에 한합니다.

8.2 삭제 및 옵트아웃. 콘텐츠 권리자는 navigate@apieceofmap.com으로 삭제를 요청할 수 있습니다(5영업일 내 처리). APiM Galaxy에 등재된 기업은 galaxy.apieceofmap.com/bot에서 데이터 수집 관행을 확인하고 삭제를 요청할 수 있습니다(10영업일 내 처리). 저작권 관련 사항은 제10조에 따릅니다.

8.3 회사의 지적재산권 및 이용 허락. 서비스 — 디자인·기능·코드·시각화·그래프 레이아웃·독자 편집 콘텐츠 포함 — 는 회사의 자산이며 지적재산권법으로 보호됩니다. 본 약관에 따라 회사는 귀하에게 내부 업무 목적의 한정적·비독점적·양도 불가·철회 가능한 이용 허락을 부여합니다. 귀하가 제출하는 콘텐츠(예: BD 전략 요청용 페르소나 프로필)는 귀하의 소유로 남으며, 귀하는 회사가 귀하에게 서비스를 제공하기 위한 목적에 한하여 이를 사용하도록 한정적 라이선스를 부여합니다. 귀하가 제공하는 피드백은 회사가 제한 없이 사용할 수 있습니다.

9. 허용 이용

귀하는 다음 행위를 하지 않을 것에 동의합니다:

• 위법한 목적으로 서비스를 이용하는 행위;
• 서비스를 복제·수정·배포·역공학하거나 2차적 저작물을 작성하는 행위;
• 사전 서면 동의 없이 봇·스크레이퍼·크롤러로 서비스에 접근하거나 콘텐츠를 체계적으로 다운로드·재배포하는 행위;
• 사전 서면 동의 없이 서비스의 데이터·출력물을 경쟁 데이터베이스·서비스 구축에 이용하거나 AI/ML 모델 학습에 사용하는 행위;
• 리포트·데이터·AI 생성 콘텐츠를 비구독자에게 재판매·재라이선스·재배포하는 행위;
• 접근 제한·이용 한도를 우회하거나, 인증 정보를 공유하거나, 타인·타 법인을 사칭하는 행위; 또는
• 서비스를 방해·교란하거나, 개인·기업을 괴롭히거나 명예를 훼손하거나 해를 끼치는 데 이용하는 행위.

서비스를 통해 취득한 정보는 귀하의 내부 업무 목적으로만 이용할 수 있습니다.

10. 저작권 및 DMCA

회사는 지적재산권을 존중합니다. 서비스의 콘텐츠가 귀하의 저작권을 침해한다고 판단하는 경우, 미국 디지털 밀레니엄 저작권법(17 U.S.C. § 512) 또는 「저작권법」 제103조에 따라 navigate@apieceofmap.com의 지정 담당자에게 통지할 수 있습니다. 통지에는 해당 저작물, 침해 주장 대상물과 그 URL, 귀하의 연락처, 선의의 침해 주장 진술을 포함해 주십시오. 회사는 적용 법령에 따라 반대통지를 처리하며, 반복 침해자의 계정을 종료할 수 있습니다.

11. 면책 및 책임의 제한

11.1 "있는 그대로". 법이 허용하는 최대 범위에서, 서비스는 "있는 그대로(AS IS)" 및 "이용 가능한 상태로(AS AVAILABLE)" 제공되며, 상품성·특정 목적 적합성·비침해, 콘텐츠의 정확성·완전성·가용성에 관한 보증을 포함하여 명시적·묵시적 어떠한 보증도 하지 않습니다. 회사는 기업 프로필·파트너십 데이터·뉴스·AI 출력물이 완전하거나 최신이거나 오류가 없음을 보증하지 않습니다.

11.2 책임의 제한. 법이 허용하는 최대 범위에서, 회사와 그 임원·직원·계열사는 간접·부수·특별·결과적·징벌적 손해, 또는 이익·매출·데이터·사업 기회의 상실, 또는 AI 생성 콘텐츠에 대한 신뢰로 인한 손해에 대하여 책임지지 않습니다. 서비스와 관련한 회사의 누적 총책임은 청구 발생 직전 12개월간 귀하가 회사에 지급한 금액을 초과하지 않습니다.

11.3 예외. 본 약관의 어떠한 조항도 과실로 인한 사망·신체 상해, 사기, 또는 적용 법령상 배제할 수 없는 책임을 배제·제한하지 않습니다. 소비자로서 귀하가 가지는 강행적 권리는 본 조항의 영향을 받지 않습니다.

12. 면책보장

귀하는 귀하의 서비스 이용, 본 약관 위반, 제3자 권리 침해, 또는 귀하가 제출한 콘텐츠로부터 발생하는 모든 청구·손해·손실·비용(합리적 법률 비용 포함)에 대하여 회사와 그 계열사를 면책하고 손해를 입히지 않을 것에 동의합니다.

13. 준거법 및 분쟁 해결

본 약관은 대한민국 법률을 준거법으로 하며 국제사법 규정의 적용은 배제됩니다. 모든 분쟁은 우선 성실한 협의를 통해 해결하며, 협의가 성립하지 않는 경우 대한민국 법원에서 해결하되 서울중앙지방법원을 제1심 관할 법원으로 합니다. 현지의 강행적 소비자 보호법이 귀하에게 거주국에서 소를 제기하거나 거주국 법에 의존할 권리를 부여하는 경우, 해당 권리는 보장됩니다. 적용 법령이 허용하는 범위에서 분쟁은 개별적으로 해결하며, 이는 강행규정상 포기할 수 없는 단체적 구제 권리(예: 「소비자기본법」상 단체소송)를 포기하는 것이 아닙니다.

14. 약관의 변경

회사는 본 약관을 수시로 갱신할 수 있습니다. 중대한 변경의 경우, 갱신된 약관을 게시하고 "최종 업데이트" 날짜를 갱신하며, 효력 발생 최소 14일 전에 등록 사용자에게 이메일로 통지합니다. 효력 발생일 이후 서비스를 계속 이용하면 변경에 동의한 것으로 봅니다.
